عقد بيع أسهم بشركة قناة الفجر الفضائية

الحمد لله والصلاة والسلام على رسول الله وبعد،

إنه في يوم ..... الموافق...........، تم الاتفاق بين كل من:

Preamble

Whereas Fajr Satellite Channel is a Joint Stock Company, incorporated under the laws of British Virgin Islands and registered under number: 1469152 with an issued total number of shares of: 500,000 shares (five hundred thousand shares) the nominal value of each is $100 (One Hundred US Dollar) and;

Whereas First Party wants to sell some of his shares, and the second party wants to purchase and own some shares of Fajr Satellite Channel Inc.,

Therefore, both Parties have acknowledged their capacity in conclusion and disposal, and have agreed to the following:

تمـهـيد:

فلما كانت قناة الفجر الفضائية، شركة مساهمة  وخاضعة لقوانين (جزر فرجن البريطانية  BVI) ومسجلة تحت رقم:  1469152 وإجمالي عدد أسهمها: 500.000 (خمسمائة ألف سهم)، قيمة السهم الواحد الإسمية: (100$) مائة دولار.

ونظراً لرغبة الطرف الأول بيع بعض أسهمه، ولرغبة الطرف الثاني شراء وامتلاك أسهم بشركة الفجر الفضائية.

فقد تم الاتفاق والتراضي بين الطرفين وهما في حالتهما المعتبرة شرعاً وقانوناً على البنود التالية:

First:  Preamble and the Appendices

The aforementioned preamble and all appendices and attachments referred to herein shall be deemed an integral part of this Agreement.

أولاً: التمهيد والملاحق:

يعتمد التمهيد أعلاه جزءاً لا يتجزأ من هذا العقد ومفسرا لبنوده ودوافعه وكذا الملاحق المرفقـة.

Second: Subject of the Contract

By virtue of this Agreement, First Party has sold and waiver a number of ….. Shares (….. Shares) of his shares in Fajr Satellite Channel at the value of $100/Share (One Hundred United States Dollars per share), with a total amount of $....... ( US Dollars), in the name of:

It was agreed between both Parties to deposit the abovementioned NET amount value, net of any banking fees or commission costs incurred for the transaction; or the deposit; or transfer of funds, in the official corporate Bank Account, or by any other mean of money transfer agreed by both parties.

ثانياً: موضوع العقد:

بموجب هذا العقد باع الطرف الأول وتنازل  للطرف الثاني عن عدد .... سهم (.... سهماً) من الأسهم المملوكة له بشركة قناة الفجر الفضائية ، بقيمة 100$ مائة دولار للسهم الواحد وبإجمالي وقدره .....$ (............ دولار أمريكي)، باسم السيد / ........................................................

وتم الاتفاق بين الطرفين على إيداع قيمة السهم الصافية، بعد خصم أية مصاريف أو عمولات بنكية مستحقة عن عملية التحويل أو الإيداع أو نقل الأموال،  بحساب الشركة، أو بأي طريقة دفع أخرى يتفق عليها الطرفان.

Third: Shares Certificates

It was agreed between the parties that within thirty days of the actual receiving of the NET amount agreed upon (Exclusive of any fees or commissions of any kind), in the official corporate bank account. First Party, by virtue of this agreement, is committed to issue a certificate with the shares owned by the Second Party and to send it by a courier to the correspondence address of the Second Party mentioned in this agreement.

ثالثاً:شهادة الأسهم:

يلتزم الطرف الأول ، خلال ثلاثين يوماً من تأريخ التحصيل الفعلي للمبلغ الموضح أعلاه بالكامل (وبدون خصم أية مصاريف أو عمولات من أي نوع) في حساب الشركة الرسمي ، بإصدار شهادة بالأسهم المملوكة للطرف الثاني بموجب هذا العقد وإرسالها بالبريد المسجل على عنوان المراسلة الموضح بهذا العقد.

Fourth: Company Activity:

The Second Party hereby expressly acknowledges that he/she is fully aware, with no shadow of doubt, of the Company activities contain, but are not limited to:

1.      Developing, operating, and broadcasting TV satellite channels and radio stations by means of Satellite, Terrestrial, Internet, Wireless, GSM, GPRS and 3G links.

2.      Producing Video and Cinema contents in various formats.

3.      Developing and publishing Printed and Electronic Media.

4.      Developing and Publishing Interactive Media Educational and Promotional Content.

5.      Aggregating and Distributing Digital Content.

6.      Organizing Events and PR Activities.

رابعاً: نشاط الشركة:

يقر الطرف الثاني لعلمه التام والنافي لكل جهالة بأن غرض ونشاط الشركة يشمل ولا يقتصر على:

1-   تطوير وتشغيل وبث القنوات الفضائية التلفازية والإذاعية (الراديو) بواسطة الأقمار الصناعية الفضائية أو الأرضية أو شبكة الإنترنت أو اللاسلكي وبكافة التقنيات مثل:  GSM, GPRS and 3G links

2-   إنتاج محتويات ومواد فيديو وسينما بمختلف التقنيات.

3-   تطوير ونشر المواد الإعلامية الإلكترونية والمطبوعـة.

4-   إنتاج ونشر وتطوير الوسائط التفاعلية التعليمية والإعلانية.

5-    نشر وتوزيع جميع المواد الإلكترونية والرقمية.

6-   تنظيم الملتقيات والمؤتمرات والمناشط العامـة.

Fifth: Objectives, Mission, Vision and Slogan

The Second Party hereby acknowledges his approval and acceptance to the Objectives, Mission, Vision and Slogan of El Fajr Satellite Channel mentioned and described hereinafter in Appendix No.1

خامساً: الأهداف والرسالة والرؤية والشعار:

بالتوقيع على هذا العقد يوافق الطرف الثاني شكلا ومضمونا وجملة وتفصيلا على أهداف ورسالة ورؤية وشعار الشركة والمفصلة بالملحق رقم (1).

Sixth: Reselling

Second Party has the right to resell his/her share(s) to any individual purchaser, not before two years of the share(s)’ issue date, and through the legal representative of the First Party. The Second Party should bear all the expenses of the transfer of ownership, and the issuance of the new certificate(s) in the name of the new purchaser. In case the Second Party intends to resell his/her share(s) to an entity, he/she must get a prior written approval of the Board of Directors.

سادساً: إعادة البيع:

يحق للطرف الثاني بيع أسهمه لأي شخص طبيعي على أن يتم ذلك بعد مضي عامين من تأريخ الإصدار ومن خلال الممثل القانوني للطرف الأول، ويتحمل الطرف الثاني رسوم نقل الملكية وإصدار شهادة جديدة، باسم المشتري الجديد. يستثنى من ذلك بيع الأسهم لأي شخصية اعتبارية حيث يلتزم مالك الأسهم بعدم بيعها أو محاولة بيعها إلا بعد موافقة مجلس الإدارة الكتابية المسبقة.

Seventh: The Applicable Law

This contract shall be governed by the laws of The British Virgin Islands.

سابعاً: القانون واجب التطبيق:

يخضع هذا العقد للأنظمة والقوانين المعمول بها في (جزر فرجن البريطانية  BVI).

Eighth: Correspondences

The parties have agreed that the Addresses of the parties mentioned in this Agreement are constant official addresses. All declarations and correspondences addressed to the Addresses of the parties mentioned in this Agreement shall be deemed proper and productive for all legal consequences. Each Party shall notify the other in writing in case of changing his address.

ثامناً: المراسـلات:

اعتمد الطرفان العناوين التالية، كعناوين رسمية ثابتة يعتبر مراسلة أحد الطرفين للآخر من خلالها، تواصلاً رسمياً معتمداً و ملزماً عند وصوله ويتعهد كل طرف إشعار الطرف الآخر خطياً عند تغييره لهذا العنوان.

Ninth: The Consent of the validity of the supplied information:

The Second Party hereby consents that all the supplied information are valid and consents that attached  proof of identity document is valid photo copy of the original document.

تاسعاً: الإقرار بصحة البيانات المرسلة:

بالتوقيع على هذا العقد، يقر الطرف الثاني بصحة بياناته بالكامل، وكذا يقر بأن صورة مستند إثبات الشخصية الملحق بهذا العقد هي صورة طبق الأصل وسليمة للمستند.

Objectives of the Channel:

1.      Connecting and uniting the Muslim Nation under the guidance of the Holy Qur’an.

2.      Conveying the words of Allah, to the entire world.

3.      Promoting and honoring those who have excelled in Qur’an.

4.      Achieving the status of being the best of Nations, by teaching and learning the Qur’an.  

5.      Exploring the sciences and arts of the Holy Qur’an. 

6.      Clarifying the guidance of the Qur’an, via program production and satellite broadcasting.

7.       Insuring the importance of the Sunnah for achieving all of the above.

Mission of the Channel

Gathering the Muslim Nation on the fundamentals, most importantly, the Holy Qur’an and the Sunnah.

Vision of the Channel

To become the Muslim’s number one TV Channel.

Slogan of the Channel

Surely, this Qur'an guides to that which is most upright.

أهداف القناة:

1-   ربط الأمة بكتاب الله عز وجل، والسعي لجمعها تحت رايتـه.

2-   إسماع العالم كلام خالقه وبارئه سبحانه وتعالى.

3-   إبـراز وتكـريم كـل مـن اعـتنى بكتاب الله عز وجل.

4-   تحقيق الخيرية مـن خـلالِ تعـليم القرآن الكريم وتعلمه.

5-   التعريف بعلوم وفنون القرآن الكـريم.

6-   العمـل عـلى تـوضيح هدايات القرآن من خلال الإنتاج البرامجي والبث الفضائي.

7-   التأكيد على أهمية السنة النبوية في تحقيق ما سبق.

رسالة القناة:

جمع الأمة على الثواب والأصول وأهمها الالتزام بكتاب الله وسنة الرسول ، صلى الله عليه وسلم.

رؤية القناة:

أن تكون الفجر القناة التي تجنمع عليها الأمة.

شعار القناة:

إن هذا القرآن يهدي للتي هي أقوم.
